 Welcome!

Please read these terms and conditions before you use our website or mobile application as they represent a Legal Agreement between you and Nantucket Grocery Delivery LLC DBA Shop and ChillACKS. (Company). If you access or shop on ShopandChillACKs.com or otherwise use the Company’s Services, you agree to the following terms and conditions.

 

 Services

 The Company offers online grocery shopping and delivery services to persons who register with the site and are at least 18 years of age. You can register for the Company’s services online. When you register, you agree to provide us with accurate and complete information including, but not limited to, your legal name, billing and delivery addresses, telephone number, a valid credit card number, security code and expiration date. If you choose an additional method of payment that is accepted by us (debit or electronic check), you must also provide necessary banking information ("Customer Registration Data") to go with it. You will promptly notify us of any changes to your Customer Registration Data. Upon registration, you will be issued a customer identification number and password which will allow you access the Company’s Services.

 

Product Quality

We are committed to stocking only the highest quality meat and produce specially hand-picked and packed just for you. Our Produce Specialists are trained to select only the freshest produce.

We do our very best to ensure that you are delighted with the variety and quality of the products we offer. We carry all your favorite national brands and any private label products available at the grocery stores in order to help save you money. Our selection also includes household necessities, pet supplies, and health and beauty care items.

 

Your Satisfaction & Our Guarantee

Your satisfaction is our number one priority. Hence, we promise to make sure your order is accurate every time. If, however, you are dissatisfied with any product in your order, please call our Customer Care at (508) 680 1085 to notify the Company of your dissatisfaction.

 

If for any reason you are not satisfied with an item purchased through the Company’s Service, we may provide you with a credit towards your next ShopandChillACKs.com order or make an equivalent refund to your original method of payment. To be eligible for a credit or refund, simply call (508) 680 1085 or e-mail sales@shopandchillacks.com within twenty-four (24) hours of delivery/pick-up of item in order to notify Company of issue. The Company does not guarantee any issue that is solely related to the supplier/source. Note that, since we are a third-party shopping and delivery service, we may need to see and assess the item in order to determine the issue before issuance of credit or refund.

 

Pricing

The price for items placed in your cart is guaranteed as long as your order is submitted before any stated sale-price expiration date and delivered (or picked-up at our designated pick-up location) within 7 calendar days, starting from the day the original order was placed. After 7 days, prices will be adjusted accordingly to reflect current prices.

Bear in mind that the prices of groceries purchased through the ShopandChillACKs.com website may be vary slightly from the prices in our local Nantucket retail store. We will, nevertheless, work to ensure that prices on the website and the store are as similar as possible.

 

Substitution of an Out of Stock Item

Occasionally, an ordered item may be out of stock, when this occurs, we will automatically substitute the ordered item with a similar in-stock item.

While we make sure that only like-kind items are substituted for each other, note that ingredients may vary. We implore you to check substituted items carefully for any allergy concerns.

If the item does not meet your expectations, please e-mail or call us and we will gladly process a refund or make an exchange.

 

Prices and Payments

The stated price of items offered on the Company’s website may differ from the stated price of items at the local supermarkets. The price you will pay for the products will be the same as the Stop and Shop, the website shows an approximate of their prices.

 

 Payment for items ordered and the associated delivery fees will be processed at the time of delivery. You agree to pay, promptly, all charges to your account (which includes items purchased and applicable taxes) for any order placed by you or anyone (including members of your family, friends or acquaintances) who you use your customer identification number or password. Fees and charges will be assessed in accordance with the current and active Company fee schedule (accessible on the Company website) in place at the time of your order. When you place an order,  we validate your card during the process of authorization, as a result, you must have enough available funds for the transaction to be approved; failure to have such funds will result in cancellation of the order. Upon approval, the order will be accepted for shopping and delivery.

 

 If you fail to pay all due and owing fees or charges as stipulated under the Company fee schedule (including fees or charges for redelivery, restocking, or damages arising from fraudulent use), the Company may charge such amount directly to the credit card identified in your Customer Registration Data. The Company reserves the right to establish and place a spending limit on your account. Your right to use the Company Service is also subject to limits established by your payment card issuer. You are responsible for any fee including, but not limited to, attorney’s fees and collection costs that the Company may incur in its efforts to obtain unpaid balances from you.

 

Subscription Terms, Fees and Payments

 

Subscribe and ChillACKs is a fee-based subscription service offered at varying subscription durations. When you sign up for a subscription, you are committed to the term that you have chosen. Users of the Site may be unregistered Users, registered Users and paying subscribers (“Subscribers”).

 

User Requirements. You must be 18 years or older to subscribe to any Services and provide Shop and ChillACKs with accurate and complete registration information. Failure to comply with either of these requirements will constitute a breach of this Agreement.

During registration you will create an account using your email address and password that will be used to authenticate your ongoing access to the Services. You will not:

  • Use the name of another person with the intent to impersonate them
  • Use a name that Shop and ChillACKs, in our sole discretion, deems inappropriate
  • Use the rights of another person

You are responsible for the use of your account and you must make your best effort to keep your password secure. You should not share your password with others. If you believe your account has been compromised, you must immediately notify Shop and ChillACKs of the suspected breach by emailing info@shopandchillacks.com.

 

For a Single Household. The Content provided through your subscription is intended for your personal use and should not be shared with others outside of your household apart from the approved sharing features of the Service.

 

Access to Shop and ChillACKs Plans and Content. You must have an active account to have access to your Content. Once your subscription gets cancellated, you will no longer have access to current or previous deliveries or other Content on the Services until such time as your account is either reactivated ..

 

Termination of your Account. If Shop and ChillACKs, in its sole opinion, believes that you are acting in a spirit inconsistent with this Agreement or have breached the Agreement, we may terminate your account. In such a case, you are not eligible for a refund. We also reserve the right to terminate your subscription for any reason even if the reason does not cause a breach of this Agreement. In such a case, we will refund any remaining unused portion of your subscription. The refund will be your sole and exclusive remedy to such a termination.

 

Prices Subject to Change. Shop and ChillACKs may change our base subscription prices at anytime. However, with the exception of any discount from coupon codes or promotional offers, the price for any delivery will be at the same base price that you were originally charged when you subscribed—unless we notify you otherwise. Should your base subscription price change, we will notify you by email and give you a time period of at least two weeks to opt out of the deliveries if you do not want to continue your subscription at the new price.

 

Purchasing Directly from the ShopandChillACKs.com Site

 

Subscription Plans. After you subscribe and place your first order, we will notify you 3 days before the next delivery. You will be able to modify or skip the order before 24 hours of the date of the delivery, if you don't make any changes then we will process to delivery the same products of your last order. We will make the deliveries according with the plan you selected when you added your subscription.  

- Monthly. Add up to 20 products, 

- Every two weeks. Add up to 25 products. 

- Weekly. Add up to 30 products

 

Service and delivery fee. Every plan has a limit of products to keep the flat rate of $35 per delivery, if you order more products then will be an additional charge of $1 per each extra item added to the order.

 

Payments. The payment options and fees will be displayed on the Site at the time the subscription is offered. The terms applying to that subscription are incorporated into this Agreement. Prices for all Subscriptions exclude all applicable taxes unless stated otherwise and are in the form of US Dollars. To the extent that the law allows, you are responsible for any applicable taxes, whether or not they are listed on the Site.

Shop and ChillACKs uses a designated third-party PCI compliant payment platform to store credit and debit card information and process transactions for your Subscription. You are responsible for all transactions processed through the Service. Shop and ChillACKs is not liable for any loss or damage from errant or invalid transactions processed through the third-party payment platform.

 

Initial Purchase. Charges will be processed at the time of delivery in accordance with the details displayed to you during the checkout process. There is no further action required by you if you would like to continue your subscription with the Shop and ChillACKs plan you selected.

 

Payment Methods. Your subscription will be Charged based on the term you selected when initially setting up the subscription—unless you choose to opt-out or cancel your subscription as described below.

-           Automatic Payments.  If you chose Automatic payment method your credit or debit card on file will be charge automatically at the end of each delivery.

-           Online Invoice. Customer will be responsible to pay the total amount due of the purchase plus the service fee and must make the payment online within a week after the order has been delivered.

-           Cash or credit/debit card. You will be responsible to pay the complete amount in cash or debit/credit card at the time of delivery. We will reserve the right to don’t accept this payment option at any time for any customer.

 

Retrying Transactions that Fail. In the event that an initial or renewal subscription charge is unsuccessful, Shop and ChillACKs may retry charges to your credit card for up to 60 days.. While on a payment plan, you may still cancel at any time and are not liable for the remaining payments should you choose to cancel.

 

Valid Credit Card. It is your responsibility to ensure that Shop and ChillACKs has valid credit card information for your account. Shop and ChillACKs may also use third-party services to retrieve updated credit card information for your account.

 

Pausing Subscription. You may pause the subscription for a maximum of 30 days.

Skipping Deliveries.  you will not be able to skip the delivery for more than 4 consecutive times. To avoid the service fee, you must skip it at least 24 hrs prior your next delivery date.

 

Cancellation. You may cancel you ChillACKs subscription through your ChillACKs account in our website. You may also cancel your subscription by email or by phone at (508)680-1085. To avoid the processing of a renewal payment, you must opt out at least 24 hrs prior your next delivery date.

 

Refunds. Refunds will be made to the credit card that was originally charged and may take up to 10 business days to appear on your credit card account.

 

 

EBT/ Food stamps

Due to USDA Internet restrictions and limitations, Electronic Benefit program payments (EBT or Food Stamps) for internet grocery purchases are not accepted at this time.

 

Delivery

Delivery will be made to the delivery address contained in your Customer Registration Data.

 For "Attended" orders, you are responsible for ensuring that someone is present at the delivery address to accept your order at the specified time. Anyone at the delivery address who receives the delivery is conclusively presumed to be authorized to receive the order. If we cannot deliver your order or must make an additional delivery because no one is at the delivery address to receive the order at the specified time, you will be charged an additional fee.

Unattended" delivery option. If you choose this option, your order will be left unattended at your designated delivery address. The Company will not be held responsible for damage and/or theft to an unattended delivery. We reserve the right to refuse to leave a delivery unattended if our delivery personnel considers the circumstances to be unsuitable or unsafe. During severe weather conditions (extreme heat or cold), choose a safe and well-protected area for your unattended delivery. If such area is unavailable, please choose our attended delivery service. Remember to return our bags and ice packs with your next delivery. We reserve the right to charge $2 per bag and $1 per gel pack if they are not returned in the next delivery. Please place the bags, along with the gel packs in a dry and safe place for our delivery personnel to pick up on your next delivery. Alternatively, you can contact (508) 680 1085 to arrange for alternative return of the packs.

 

Quantity limits

We reserve the right to limit your order or the quantity of a particular product that you may order. Although our goal is to fulfill 100% of your order, availability for a large quantity order of an item is limited and we do not back-order items.

We request that you contact our Customer Care Department via (508) 680 1085 within a minimum of one week in advance should your order include quantity amounts greater than twenty (20).

Additional handling fees may apply for orders containing large sizes and/or weights.

 

Review policy

 

Writing a review

You help us and everybody when you write a review. Through your reviews, ShopandChillACKs.com learns your preferences, likes and dislikes along with your reasons. At the same time, fellow ShopandChillACKs.com shoppers will also appreciate your guidance.

You have to be an existing and registered customer to write a review. You are not allowed to write a review as a visitor, that way, everyone knows the reviews can be trusted.

 

Review Moderation

When you review a product our moderators look at your review. The moderators check to ensure there aren't any falsehoods, discriminatory or offensive comments, spam or profanities. The Company reserves the right to remove or to refuse to post any submission for any reason. You acknowledge that you, not the Company, are responsible for the contents of your submission. By submitting your email address in connection with your rating and review, you agree that the Company and its third party service providers may use your email address to contact you about the status of your review and other administrative purposes. All content that you submit may be used at the Company’s sole discretion.  The Company reserves the right to change, condense or delete any content on ShopandChillACKs.com website that the Company deems, in its sole discretion, to violate the content guidelines or any other provision of these Terms of Use. The Company does not guarantee that you will have any recourse through ShopandChillACKs.com to edit or delete any content you have submitted. If approved, ratings and written comments are generally posted within two to four business days.

 You agree to indemnify and hold the Company of every kind and nature, known and unknown including reasonable attorneys' fees, arising out of a breach of your representations and warranties set forth above, or your violation of any law or the rights of a third party.

 For any content that you submit, you grant the Company a perpetual, irrevocable, royalty-free, transferable right and license to use, copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from and/or sell and/or distribute such content and/or incorporate such content into any form, medium or technology throughout the world without compensation to you.

Once your review has been moderated and deemed fit for publishing, it will be approved for posting.

 Remember, when you review something, you give the Company the right to use your comments on our site.

 

Property Rights

All content on ShopandChillACKs.com including, but not limited to, design, text, graphics, interfaces, and the selection and arrangement thereof, and all software are the property of Shop and ChillACKs ©2018, Nantucket Grocery Delivery LLC, or its content providers and are protected by common, State and Federal laws respecting trademarks.. The Company authorizes you to, view, electronically copy, print in hard copy portions of ShopandChillACKs.com for the sole purpose of placing an order with us for your personal, non-commercial use. Note that this authorization is based on the provision that you preserve any trademark, copyright or other proprietary notices. Any other use of materials on ShopandChillACKs.com including, but not limited to, reproduction, modification, distribution and/or publication for commercial or public purposes/use, without prior written permission and assent of the Company is strictly prohibited. The Company reserves the sole right to revoke this authorization at any time without prior notification. In which case, any use shall be discontinued immediately or immediately upon on written notice from Shop and ChillACKs.

 

Trademarks

“Nantucket Grocery Delivery”, “Nantucket Grocery Delivery LLC,” "Shop and ChillACKs,” " ShopandChillACKs.com," Shop and ChillACKs and Nantucket Grocery Delivery logos, titles, characters, names, graphics and button icons and any reasonable variation of the foregoingare service marks, trademarks and/or trade dress of the Company and are protected by common, State and Federal laws respecting trademarks. They are otherwise, proprietary to the Company and may not be used by any individual for any reason except as expressly permitted by this Agreement. Other trademarks, service marks, product names and company names or logos appearing on ShopandChillACKs.com are the property of their respective owners.

 

Account Password

The password to your account is to be kept confidential at all times to prevent unauthorized use. By agreeing to our terms and conditions, you agree to promptly notify the Company of any unauthorized use of your password, your account and/or loss or theft of your credit card/debit card or bank account number. You will remain liable for any use of the Company’s  Service until you notify the Company accordingly of any unauthorized use, loss or theft of your password, credit card/debit card or bank account number.

 

Communication to customers regarding order status

Occasionally, the Company may contact customers with information regarding order delivery; this includes, but is not limited to, delays or cancellations. The Company will not be held responsible for inaccurate account delivery information due to wrongful information entered by the user, data errors or technical issues on the part of telecom carriers.

You may receive a text message or email alert beforehand notifying you of a pending delivery. The Company will not be held responsible for inaccuracies or message delivery failures due to unforeseen circumstances or events that are beyond its control.

 

Unauthorized use

From time to time, the Company may extend promotional offers to existing or potential new customers. You agree to abide by the terms and conditions of such offers and acknowledge that circumvention, or attempt thereof, of the terms and conditions of such offers constitutes an unauthorized and/or fraudulent use. You will be liable for damages resulting from such unauthorized and/or fraudulent use. The Company reserves the right to charge the credit card on the account identified in your Customer Registration Data an amount equal to such damages.

 

Changes in agreement, fee schedule or the Company’s service

The company may, at any time, change any of the terms of this Agreement or the Company’s fee schedule including, but not limited to, the amount of or basis for determining any fee or charges for the Company’s Service. If the Company makes material changes to this Agreement or changes to the Company fee schedule, the Company will provide notice to you in the manner provided in this Agreement. Your use of the Company’s Service after any such change will be conclusively deemed to be an acceptance of such change. The Company may discontinue or revise any or all aspects of the Company’s Service without prior notice to you. Price and availability of products are also subject to change without notice. We reserve the right to correct online pricing errors. We also reserve the right to cancel undelivered orders for such incorrectly priced products. You will be contacted in such circumstances, and, of course, your credit card or checking account will not be charged.

 

Disputes

Any dispute or claim relating in any way to your use of the Company’s Services, ShopandChillACKs.com or any product or service ordered or purchased through ShopandChillACKs.com will be resolved by binding arbitration, except that you may assert claims in small claims court if your claims qualify. Accordingly, you agree to give up your right to go to court to assert or defend your rights under this Agreement. The Federal Arbitration Act and federal arbitration law apply to this Agreement. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages) and must follow these Terms and Conditions of Use as a court would. The arbitration will be conducted by the American Arbitration Association (AAA) under its rules, including the AAA's Supplementary Procedures for Consumer-Related Disputes. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in Nantucket County, Massachusetts. In addition, we each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. If for any reason a claim proceeds in court rather than in arbitration we each waive any right to a jury trial.

 

Access and Interference

You agree that you will not use any robot, spider, scraper or other automated means to access ShopandChillACKs.com for any purpose without our express and written permission. Additionally, you agree that you will not:

(i)        take any action that imposes or may impose an unreasonable or disproportionately large load on our infrastructure. The opinion of what is an imposition or may be an imposition is at the sole discretion of the Company;

(ii)       copy, reproduce, modify, create derivative works from, distribute, or publicly display any content from the the Company’s website without our prior express and written permission;

(iii)      interfere or attempt to interfere with the proper functioning of our websites or the Company’s Services;

(iv)      bypass any measure we may have put in place to prevent or restrict access to the Company’s sites.

 

Indemnification

You agree to indemnify and hold the Company harmless from any and all costs, expenses, including reasonable attorneys fees and costs and damages to property or injury to persons, or both, or any other claim arising out of or caused by any act or omission, negligent or otherwise, of the Company or its agents or servants or employees arising out of this Agreement.  In the event that any suit is instituted against the Company on any claim so arising, you shall defend the same at your own expense and pay any judgment rendered therein against the Company ,

 

Termination

We may suspend or terminate your access to the Company’s Service at any time for any reason with or without prior notice to you. You may terminate your access to the Company’s Service at any time for any reason by delivering notice in a manner provided in this Agreement, upon which termination will be effective on the day notice is received or such later date as specified in the notice. If you terminate your Service for any reason whatsoever, you will not be entitled to a refund of any fees. The Company reserves the right to collect fees and charges incurred before you cancel your Company Service. Additionally, you are responsible for any charges incurred to third-party vendors or content providers prior to your cancellation.

 

Privacy and Security

Your privacy is very important to the Company. The Company uses Verisign or a similar service at the Company’s discretion to encrypt your credit card information in order to protect your information as it travels over the Internet. Once we receive your credit card information, it is stored in a secure data center. The Company does not sell personal information about individual customers (such as name, address, e-mail address) to third parties, sell or rent lists of customers or use information about individual customers except to provide the Company’s Service or as described below. The Company makes reasonable efforts to protect your personal information once we receive it. However, due to the inherent nature of the internet, the Company cannot and does not guarantee that any data transmitted over the internet, mobile application, or any other network is 100% secure. Therefore, the Company cannot ensure or warrant the security of any information transmitted to or from the Company. As with any internet user, you transmit your personal data at your own risk.

(a) Aggregated Information. The Company may use aggregated information regarding its customers and usage of the the Company’s Service (such as customer demographics and traffic patterns) and disclose such aggregated information to advertisers, partners and others for various purposes.

(b) Third Party Service Providers. The Company may employ other companies and individuals to perform certain functions such as delivering packages, processing credit card payments and analyzing data. They may have access to personal information to perform their functions.

(c) Sale of Business. The Company may transfer Customer Registration Data and other personal information in connection with the sale of the Company or the sale or transfer of its business operations in your geographic area to a third party provider of grocery ordering or delivery services who agrees to be bound by this Privacy Policy until you consent that such information will be governed by the policies and terms of such third party provider.

(d) Enforcement of Agreement or Compliance with Law. The Company may use or disclose personal information when Peapod believes it is appropriate to enforce this Agreement, to protect the rights, property or safety of Peapod or its users or to comply with the law.

Please review a complete statement of our Privacy and Security Policy which also governs your use of Shop and Chillack.com and/or any other service of the Company.

 

Notices

The Company may give notice of a change in this Agreement, a change in the Company’s Fee Schedule, and any other matter through general posting on ShopandChillACKs.com, by e-mail, or by conventional mail sent to the address contained in your Customer Registration Data. You may give notice to the Company via e-mail (shopandchillACKs@gmail.com)

 

Legal and Miscellaneous

(a) This Agreement states your entire agreement with the Company regarding the use of ShopandChillACKs.com, the Company’s Services. If any portion of this Agreement is deemed to be illegal or unenforceable, the remainder of this Agreement shall be unaffected and shall continue to be fully valid, binding, and enforceable.

(b) The failure of either you or the Company to insist upon strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right.

(c) This Agreement is governed by the laws of the Commonwealth of Massachusetts without regard to its conflict of laws rules. You expressly agree that exclusive jurisdiction for any claim or dispute with the Company or relating in any way to your use of the Company’s Service, ShopandChillACKs.com resides in Massachusetts, and you further consent and agree to personal jurisdiction.

(d) All obligations and restrictions placed upon you or your permitted users by this Agreement shall survive termination of your Service.

Please note that, the Company reserves the right to add, delete or change fees or charges at any time upon notice.

While using the Company’s Service, you may give us special shopping and delivery instructions which we’ll store and use to pick and deliver orders to your specifications.

 

How does Shop and ChillACKs use your personal information?

We use your personal information to provide you with a seamless ShopandChillACKs.com experience and to enhance and personalize your shopping experience. The Company does not and will never sell personal information (such as name, address, e-mail address and credit card information) of our individual customers to third parties. We will never sell or rent customer lists or use information about individual customers in our database except to provide the Company’s Service.

 

How may you change or remove your personal information?

You may review and change or withdraw your personal information stored by ShopandChillACKs.com at any time by accessing the My Account page at ShopandChillACKs.com. You may also do so by contacting the Company’s Customer Care at (508) 680 1085. Upon a request to withdraw your personal information from our database, the Company will remove all such information and will not thereafter use personally identifiable information about you in any way. Such request will automatically terminate your service.

 

Privacy and security policy changes

The Company reserves the right to change this policy at any time. If the Company makes a substantial change in the use of your personally identifiable information, the Company will notify you in the manner provided in the Company’s Service Customer Agreement.

Review Moderation

When you review a product our moderators look at your review. The moderators check to ensure there aren't any falsehoods, discriminatory or offensive comments, spam or profanities. The Company reserves the right to remove or to refuse to post any submission for any reason. You acknowledge that you, not the Company, are responsible for the contents of your submission. By submitting your email address in connection with your rating and review, you agree that the Company and its third party service providers may use your email address to contact you about the status of your review and other administrative purposes. All content that you submit may be used at the Company’s sole discretion.  The Company reserves the right to change, condense or delete any content on ShopandChillACKs.com website that the Company deems, in its sole discretion, to violate the content guidelines or any other provision of these Terms of Use. The Company does not guarantee that you will have any recourse through ShopandChillACKs.com to edit or delete any content you have submitted. If approved, ratings and written comments are generally posted within two to four business days.

 You agree to indemnify and hold the Company of every kind and nature, known and unknown including reasonable attorneys' fees, arising out of a breach of your representations and warranties set forth above, or your violation of any law or the rights of a third party.

 For any content that you submit, you grant the Company a perpetual, irrevocable, royalty-free, transferable right and license to use, copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from and/or sell and/or distribute such content and/or incorporate such content into any form, medium or technology throughout the world without compensation to you.

Once your review has been moderated and deemed fit for publishing, it will be approved for posting.

Remember, when you review something, you give the Company the right to use your comments on our site.
